Personal Shoppers Program - Terms and conditions of use
Updated as of 09/02/2018.
Through these General Conditions, Vudoir makes available to people wishing to be part of the Personal Shoppers Program (hereinafter, the "PS" or "Personal Shoppers"), that is, independently of the use of the App and of the web as PS.
The Contract is an annex to the Order Form signed by the Parties ("Order Form"). This Contract will be effective as of the last of the dates entered at the end of the Order Form (the "Effective Date") and regulates the relationship between the Client and Vudoir in everything that is not specified in the Order Form. Definitions.
In compliance with the provisions of Article 10 of Law 34/2002, of July 11, Services of the Information Society and Electronic Commerce, the following identifying data of the owner of the site are exposed:

Vudoir aims to provide technological solutions in the fashion and beauty sector for decision making, from social selling, to the analysis of real-time trend data. Vudoir starts its career in December 2015 with the launch of a B2C application so that users can receive a second opinion about what to wear and what to buy from fashionistas and professional stylists. To this B2C app is added in October 2017 the launch of a B2B SaaS, called OneDecision, so that the final users of ecommerce fashion and beauty can receive within the website and without abandoning the shopping experience, a second opinion in time real community connected through the application, including PS.
The PS are people who aspire to be part of the Personal Shoppers Program or are part of the Personal Shoppers Program in order to receive a reward for their styling opinion to other PS connected through the Vudoir application or through the installed OneDecision widget on Client websites (hereinafter, the previous two together or separately, "PP - Online) or through the Vudoir website (hereinafter," PP-Marketplace ").
For the purposes of these Terms and Conditions of Use, Client shall mean the websites that have installed the OneDecision widget from which the users of the Client's website (End Users) request a second opinion from the Vudoir community in which they include the PS that will give their opinion to the End Users through the Vudoir App and that will reach the End User through the OneDecision widget.
3. Access and Registration for PS
To be part of the Personal Shoppers Program it is essential that the following requirements are met:
● To have complied or be over 18 years of age. In case of being under 18 years of age, having complied or being over 14 years of age, guaranteeing to Vudoir (a) that he has the express permission of his parents or legal guardians to accept the Terms and Conditions of the Personal Shoppers Program and perform all actions that they are at your disposal in Vudoir and (b) that you will send said express written consent, from your parents or legal guardians, within 48h after Vudoir requests it.
● Accept these Conditions of use.
● Accept the Privacy and Data Protection Policy.
The PS guarantees that all data about its identity and legitimacy provided to Vudoir in its registration forms to the Personal Shoppers Program are true, accurate and complete. It also undertakes to keep your data updated.
In the event that the PS provides any false, inaccurate or incomplete information or if Vudoir considers that there are reasonable grounds to doubt the veracity, accuracy and integrity thereof, Vudoir may deny access and present or future use to the Personnel Program Shoppers or any of the contents and / or services of Vudoir.
When registering in the App and / or on the web, the PS will select a PS name (username) and an access password (password). Both the username and the password are strictly confidential, personal and non-transferable.
The PS agrees not to disclose the data related to your account or make it accessible to third parties. The PS will be solely responsible for the use of such data by third parties, including the statements made in the App, or any other action that is carried out by using the username and / or password.
Vudoir can not guarantee the identity of the registered PS, therefore, it will not be responsible for the use of the identity of a PS registered by unregistered third parties. The PSs are obliged to immediately inform Vudoir of the theft, disclosure or loss of their username or password, communicating it through the Contact Form.
To be able to complete the registration in the Personal Shoppers Program, the PS must provide some information such as: name of the PS, email address, telephone, data, your account in Stripe / Paypal, etc. Once the registration is completed, all PS can access their profile and complete it and / or edit it as it deems appropriate.
4. Operation of the Personal Shoppers Program (PPS)
4.1. Who can be a Vudoir stylist / personal shopper (PS)?
Potentially, everyone can become PS in Vudoir but depending on the experience, training and also the activity that PS has in Vudoir will start from a different level. Only the PS approved by Vudoir will be rewarded for their services and those of higher level may even offer their services on the Vudoir website by setting their own price.
For example, if the PS already has a styling company, start directly at Level V (the highest of 6 levels), if the PS does not have experience as a stylist or does not yet meet the requirements of level O, the PS can do your contributions within the Vudoir app but you will not be rewarded for these contributions yet. The relationship of Levels and how to become an approved PS is found below.
4.2. What do you need a PS to give your styling opinion with option to reward other users who ask for opinion through the OneDecision?
If the PS has already received authorization from Vudoir to start the test phase, the PS will need to take 3 steps:
- Download the free Vudoir app in Google Play or App Store according to the Smartphone that has the PS. Here is a link
- Create a PS account with a username and password in the Vudoir App.
- If the PS already has a Gmail email, the PS will indicate its Gmail email, and the Gmail app will be downloaded to receive in its Gmail account the notifications of the posts created through the OneDecision by the users of the client assigned. Gmail will send the PS a code that the PS will forward to so that we can send you notifications.
If the PS does not have a Gmail account, the PS must create one.
We will do the test agreed with the PS in the Personal Shoppers Program Sheet (PPS) that is indicated below. If the PS has passed the test, we will approve your account as a Professional Stylist and a special icon will appear in your user account of the application. From then on, PS comments can be viewed by the users of the OneDecision widget and the rest of the users of the app and their valid opinions can be rewarded. We will also publish your Professional Stylist profile on our website.

Note: If the PS has not passed the test, we can (a) propose that you continue in level I to train and continue practicing. The PS can consult in the section Levels how to go from level I to O; or (b) we can block your PS account in Vudoir and pass it to level R. In this case, the PS will not be able to reapply for being a Vudoir Personal Shopper or a Vudoir user. We can block the account of a PS if it violates the Code of Ethics or the terms and conditions of use of Vudoir of the PPS or the general ones for the users of Vudoir or if outside of Vudoir the PS projects an image contrary to the values of Vudoir (with appreciation) unilateral and subjective of Vudoir).
4.3. How can a PS approved by Vudoir be?
Applying to our Personal Shoppers Program in this link. Within a week we will review the PS's candidacy. If the evaluation is positive, we will send the Personal Shoppers Program Sheet to the PS to agree with him on all the details and we will begin the test phase. The PS can consult here what you will need to be a PS in Vudoir. If the assessment does not allow usapprove your application we suggest you join the LevelI.
Vudoir reserves the right to interrupt the review of applications in case of peaks of applications or oversupply of applications.
4.4. Are there levels of stylists?
Yes, there are 5 stylist levels and depending on the PS level, you can receive more rewards for a valid comment made in the Vudoir App and the PS approval test will have different characteristics depending on the level of the PS.
V.- Level V is for the most advanced professional stylists and personal shoppers on the market and the most advanced KOL's (Key Opinion Leaders).
The PS must demonstrate at least 10 years of experience as a stylist or personal shopper working for third parties or with their own company or be a teacher with more than 10 years of experience teaching classes on styling.
The PS also falls into this category if it is a product specialist with more than 10 years of experience, for example, if the PS is a gemologist. In this case and following the example, we will assign to PS only posts created by OneDecision users in jewelry clients.
If the PS is influencer or key opinion leader (KOLs) with more than 100,000 followers and a ratio of average interaction per content of 10% in your blog, Youtube channel or Instagram.
If the PS is a journalist specialized in styling and fashion with more than 10 years of experience.
The Level V Personal Shoppers can advertise their services in the PP - Marketplace.
U.- EL Level U is for professional stylists and personal shoppers with more than 5 years of experience and KOL's of medium grade.
The PS must demonstrate at least 5 years of experience as a stylist or personal shopper working for third parties or with their own company or be a teacher with more than 5 years of experience teaching styling classes.
Also enter a PS in this category if you have experience leading the advice to customers in physical fashion or beauty store or if you are a product specialist with more than 5 years of experience, for example, if you are a gemologist. In this case and following the example, we will assign to PS only posts created by OneDecision users in jewelry clients.
If the PS is influencers or key opinion leader (KOLs) with between 50,000 and 100,000 followers and a ratio of average interaction per content of 10% in your blog, Youtube channel or Instagram.
If the PS is a journalist specialized in styling and fashion with more than 5 years of experience.
U Level Personal Shoppers can advertise their services in the PP - Marketplace.
D.-The Level D is for personal shoppers with specialized training in image consulting and at least 1 year of experience with clients.
The PS must demonstrate at least 1 year of experience as a stylist or personal shopper working for third parties or with their own company and have been specifically trained in image counseling. If we have an agreement with your training center, the PS will only have to authorize us to transfer your name to the center and this will confirm that the PS has the indicated training.
Being an influencer with ratios of followers and interaction below the thresholds indicated in the higher levels will not be enough to enter this level since we need to see that the PS has experience advising others and not only creating styles for themselves.
The Personal Shoppers Level D, can NOT advertise their services in the PP - Marketplace but YES in the PP- Online.
O.-The O level is for KOLs with more than 5,000 followers and an average interaction ratio per content of 5% on your blog, Youtube channel or Instagram with basic styling notions that we will check when we do the test. Also the PS that have achieved the merits indicated in Level I.
The Personal Shoppers Level O, can not advertise their services in the PP - Marketplace but YES in the PP- Online.
I.- Level I is for SPs who are not stylists approved by Vudoir yet but wish to be.
To be able to pass to level O Vudoir requires that in 6 months the PS make 180 valid comments to Vudoir posts. That is, at least 30 valid comments per month for 6 months.
You can also move from level I to O if the PS has been doing work under an agreement with a teaching center with which Vudoir has a signed agreement and the PS has satisfactorily passed both the practices and the entire course. In this case, only 2 additional months with 60 valid comments to Vudoir posts will be required. That is, at least 30 valid comments per month.
At the end of each quarter (March 31, June 30, September 30 and December 31) we will review which levels I have met the 180 valid comments and if the PS has passed the test, we will pass the PS to the level O.
R .-The level R is not really a level of PS Vudoir.
These are accounts that aspired to be a stylist and have been blocked during the test or after passing the test for violating the Code of Ethics or the terms and conditions of use of Vudoir. We can also pass the PS to R level if outside the App Vudoir the PS is projecting an image contrary to the values of Vudoir, according to the unilateral criteria of Vudoir (for example, if in his Instagram account the PS uploads photos attacking to animals).
4.5. What does the PS need to receive the earned reward?
To receive the rewards the PS needs a Stripe account. The PS can fill in here the form. In default, the PS can use your Paypal account.
Therefore, at the time that the reward must be paid to the PS, it must have or failing to enable a Stripe or PayPal account to receive the reward. Otherwise, Vudoir will not be obligated to pay any reward to the PS.
The transfer costs through Paypal or Stripe will be assumed in any case by the PS.
4.6. What additional obligations should the PS take into account?
The PS is committed to comply with the legal system regarding the taxation of the rewards obtained in Vudoir. The Personal Shopper declares that it is solely liable for its taxation, which is why Vudoir is exempted from any fiscal responsibility derived from the payment of the remunerations obtained.
Vudoir undertakes to make quarterly payments on personal income tax for the total number of transactions carried out in accordance with current legislation. To do this Vudoir will request personal information from the PS, such as Country of fiscal domicile, Name, Surname, DNI, Province (in the case of residents in Spain), complete address (in the case of non-residents in Spain) and date and place of birth (in the case of non-residents in Spain) in order to make the relevant declarations. These data will be used exclusively to comply with tax obligations.
Vudoir can not be considered editorial responsible, and expressly declares that it does not identify with any of the opinions that may be issued by the PS, whose consequences the issuer of the same is entirely responsible for.
Those who fail to comply with such obligations will be liable for any loss or damage they cause. Vudoir is not liable for any consequence, damage or harm that may arise from such access or unlawful use by third parties.
In general, the PSs undertake, by way of example and not limited to:
● Not to alter or modify, totally or partially, the app or the website, bypassing, deactivating or manipulating the functions or services of any other;
● Not to infringe the rights of industrial and intellectual property or the regulatory norms of the protection of personal data;
● Do not use the app or the Vudoir website to insult, defame, intimidate, violate your own image or harass other End Users or PS; - Do not access the email accounts of other users or PS;
● Do not introduce computer viruses, defective files, or any other computer program that may cause damage or alterations to the contents or systems of Vudoir or third parties;
● Do not send mass and / or repetitive emails to a plurality of people, nor send email addresses of third parties without their consent;
● Not to carry out publicity actions of goods or services without the prior consent of Vudoir.
Any PS may report to another End User or PS when it considers that it is not complying with these General Conditions of Use, and all PSs may inform Vudoir of any abuse or violation of these conditions, through the Contact Form. Vudoir will verify this report, as soon as possible, and will adopt the measures it deems appropriate, reserving the right to withdraw and / or suspend any PS of the website, app or widget OneDecision for breach of these General Conditions of Use. Likewise, Vudoir reserves the right to withdraw and / or suspend any message with illegal or offensive content, without the need for prior notice or subsequent notification.
4.7. What is the Vudoir Code of Ethics?
The PSs are obliged to comply with a code of ethical conduct in their provision of services, both online through the Vudoir App and the services contracted through the Vudoir website, provided outside the Vudoir App. Vudoir reserves the right to switch to a PS at Level R automatically in case of breach of said Code of Ethics.
The basic rules of use of these accounts are as follows (many of the rules apply only to Personal Shoppers - Online):
- You must act with ethics and advise the product that seems best for the End User (ie, the user who is creating the post through Vudoir's OneDecision widget installed on the Client's website) and not the product that the Client needs to sell more or more expensive.
- No negative comments can be made or include bad words.
- The PS can abstain whenever he wants to comment on a specific post but if he comments, he can not do so indicating that he does not like any of the options. The End User expects from the Vudoir community and the adhering PSs a constructive response tailored to their two options.
- References to other websites different from those of the Client or links can not be included.
- It should be written with grammatical and typographical correction.
- If the Final User asks a specific question, a different thing can not be answered. For example, if an End User asks through OneDecision: What dress is best for a wedding that starts mid-afternoon? The PS can not answer for example: "The dress on the right is beautiful." The correct thing to do would be to add, "and more appropriate for a wedding that starts mid-afternoon considering the length of the dress".
- The registration of the language must be adapted to the type of Client. For example, if the assigned Client belongs to the luxury sector and its target audience is people over 45 years old, it will not be possible to answer with standard phrases: This bag is cool!
- The applicable Law can not be infringed through the comments at any time (for example, inciting hatred, with racist, sexist or any other kind of comments that are prohibited by the applicable regulations in Europe and the United States).
- Personal data can not be given through comments such as a telephone, an email address, etc.
- The language used by the user of the OneDecision widget must be used or, if unknown, because the description of the post can not be known, the language where the Client is assigned will be used by default according to the Personal Shoppers Program Sheet.
- It must be used constructively to help the End User to make a purchase decision, closing the options, not opening the options offering more products or other substitutes of the options proposed by the End User.
- The PS can not lie in the Vudoir approval process stating that they have training or experience that is not true.
- You can not answer questions regarding the return policy, payment methods or other operational or stock issues of the Customer unless expressly authorized in the Personal Shoppers Program Sheet with the key phrase: Feedback on Authorized Operations.
- Vudoir reserves the right not to work with dependents of Vudoir Customers stores in the event that Vudoir considers that this fact may imply a conflict of interest with the Client or go against its internal policies.
4.8. How can a PS participate in the blog?
A PS can participate in our blog if it is part of the Personal Shoppers Program and is in one of these levels: V, U, D, O. Just send us an email to with your article proposal. We will review it as soon as possible and if it is approved we will publish it with your user name in Vudoir App.
A. Questions and answers if you are an online Personal Shopper in Vudoir App [PPS - Online]
-1. How should the service be provided?
In order for the service to be rewarded, the authorized Personal Shopper must reply to the post created from the assigned Client account and while the voting is open.
o In accordance with the Code of Ethics
or First you must vote the option you prefer and then comment.
The response must be sent while the post is active and must contain at least 80 characters, without counting spaces. Example of a comment with 80 characters:
"The garnet coat! For being more elegant and combinable with both casual and sophisticated looks. "
The 80 characters can take place in a single comment or in several if you have given" sent "ahead of time. For example:

From 80 characters you will not earn more rewards or if you make more than one comment to the same post, what counts is that in your answer there are 80 characters and that the other conditions are met.
Remember that you can not erase your comments so try to think what you want to say. If you are wrong, you must send an email to we can eliminate it as soon as possible.
Generally, a post lasts 3 minutes but the End User can stop it sooner or it can lengthen the vote.
Vudoir reserves the right to limit the hours in which the Personal Shopper can provide the service and / or the maximum number of comments per month that the Personal Shopper can carry out, so that the comments made outside said schedule or exceeded said limit will not earn any remuneration. The assigned hours and / or maximum number of comments attributed to the Personal Shopper in the Signature Form of the Personal Shoppers Program will be specified, if applicable.
-2. When will I receive the rewards?
If you are already part of the Personal Shoppers Program, you will receive the rewards upon reaching 200 valid comments. We will transfer the rewards on the 10th day of the month after you have reached 200 valid comments (Payday).
For example, imagine that on February 23 you have reached 200 valid comments, on the 10th working day of the following month (on March 10 if it was a day from Monday to Friday) we will send the reward to your Paypal or Stripe account for the 200 Valid comments received until February 23. Therefore, if on March 10 you have accumulated 250 valid comments we will make the transfer for the first 200 and the remaining 50 will be satisfied when you add 150 more.
-3. How will I know how many valid comments I have accumulated?
In the Vudoir App you have a section called "Voted Vudoirs", here you have a first list of Vudoirs voted that can include posts with and without reward. We will send you the Payment Day an Excel with the post with valid comments with reward. Keep in mind that our Backend is programmed to record exactly in what second you carry out each activity in Vudoir so that the system knows if a comment has arrived on time or not and our team reviews manually with algorithms if your comments have been valid. All this activity will be shared with you on the Payment Day in case there is an amount to transfer.
If you delete your Vudoir App account or request its removal, Vudoir will not be required to pay the amounts due to date.
-4. What should I do to level up?
You must prove that you meet the requirements established in the next level to your current one. Check here the requirements of each level.
-5. Can I lower the level?
Yes, in case we register more than three incidents in the way of giving your opinion through your account in Vudoir App but you have not breached the Code of Ethics or if we detect that you do not have the experience or knowledge expressed during the approval process as Personal Shopper, in the latter case can even assume to go to Level R. If you breach the Code of Ethics we can expel you directly to the first violation.
-6. Can I be expelled, blocked or suspended?

-8. What responsibility do I assume in front of the company from which the post comes (Client) and the PS that created the post?
The responsibility contained in these Terms and Conditions of Use of the Personal Shoppers Program and the responsibility that is applicable in each case in relation to the assigned Customer. It will be the obligation of the PS to know the terms and conditions of use of the Client relating to its website.
-9. Can I choose the country where to provide services and the language?
When you apply to the Personal Shoppers Program you can tell us the languages you speak. We will assign clients who work in these languages.
B. Questions and answers if you are a PS hired by End Users through the web Vudoir, but the service provided outside the App [PPS - Marketplace]
For the purposes of this section, the client will be the final user of the app or the Vudoir website that has hired the PS through the Vudoir website.
-1. How do you know that I have rendered the customer service?
Before terminating the service, you must ask the Client to sign a sheet in which you have correctly received the Service ("Provision of validated services"). Your service provision policy will apply to PSs that contract your service through our Website in terms of cancellation, return policy and other rights and guarantees collected under the Consumer and Users Act and other development regulations. The existing regulations in the country where the service is provided will apply. In case your terms and conditions of use do not respect said regulations, the current legislation will be applicable in substitution of the clauses that break the regulations.
-2. What happens if a customer is not satisfied?
If the client is not satisfied because the conditions of provision of the service to which he is entitled by law or by the conditions announced by you on your website or other platforms or supports have not been met, you will be responsible for the poorly rendered service. We will return the payment to the customer and we can reimburse the cost of the transaction and the management.
-3. When will I receive the money?
You will receive the money when you have accumulated at least € 50 and always not before a week from the service, within which you must send us a copy of the service provided signed by the client.
-4. Who is responsible to the client?
You are directly responsible for the provision of customer service. For our part, we are responsible to the customer for returning the money if the service has not been provided or has not been loaned correctly. We are also responsible for processing your data in accordance with current regulations. However, this data processing does not exempt you from correct data processing. In fact, we reserve the right to exclude you from our platform if we detect that you do not comply with the personal data protection regulations.
-5. What responsibility does Vudoir assume?
Vudoir assumes responsibility to the Client referred to in the previous point and with you we are responsible for treating your data in accordance with current regulations and transfer your remuneration for the provision of services validated by the client within the deadlines and with the operation that we explain in this document.
-6. How can I advertise courses on your website?
You can announce your courses on our website if you are a Level V or U.
-7. Can I choose the country where to provide services and the language?
If you provide online services you can specify in which language and for what countries you provide the services. If you only offer online services it is important to specify it and show your address.
-8. Do you charge commission for the services you provide through your website?
We only have the commission that we have to transfer to the bank for payment by card of your services, we apply the corresponding tax withholdings and we charge a small fixed management fee of 1.50 Euros for each client reservation (here we include a part of costs such as the maintenance of the platform, the personnel dedicated to answer the doubts of the clients, solve the incidents that may arise regarding the payment and return of the payment, and the operation of billing and payments).
5. Responsibility for content
Vudoir has no obligation to control the use that End Users make of the App and the website and, therefore, does not guarantee that End Users and PSs use the App and the web in accordance with the provisions of These General Conditions of Use, or make a diligent and / or prudent use of them. Vudoir has no obligation to verify and does not verify the identity of the End Users, nor the veracity, validity, completeness and / or authenticity of the data they provide.
Vudoir excludes any liability for damages of any nature that could be due to the unlawful use of the App and the website by the End Users or that may be due to the lack of veracity, validity, completeness and / or authenticity of the information that End Users provide to other End Users about themselves and, in particular, though not exclusively, for damages of any kind that may be due to the impersonation of a third party's personality by an End User in any kind of communication made through the App and the Web. In particular, Vudoir is not responsible for the use of the application or the contents that could be made by a third party from the End User's account.
Notwithstanding the foregoing, Vudoir reserves the right to limit, in whole or in part, access to the website, app or OneDecision widget to certain PS, as well as to cancel, suspend, block or eliminate certain types of content, through the use of of technological instruments suitable for that purpose, if it had actual knowledge that the activity or information stored is illegal or that it damages property or rights of a third party. In this sense, Vudoir will be able to establish the necessary filters in order to prevent illicit or harmful contents from being poured into the network through the service. The making available by the PS of contents through the web, app or widget OneDecision will suppose the cession in favor of Vudoir of all the rights of exploitation derived from the contents supplied in the web, app or widget OneDecision.
6. Clause of "no guarantee"
Vudoir does not make any confirmation, nor does it validate the identity and background of the PS. Notwithstanding the foregoing, Vudoir may eventually perform additional checks and initiate procedures to help verify or verify the identities of the PS. In this sense, when a PS reaches the status of PS it simply indicates that said PS has completed the corresponding registration process and has accepted these General Conditions of Use and any other particular condition that may be applicable to it. It does not imply either certification or endorsement about its reliability, suitability and / or security by Vudoir.
Therefore, Vudoir recommends Final Users that they always use common sense and all their attention when contracting with a PS.
By being members of the OneDecision website, app or widget, End Users and PSs accept that any legal liability they intend to exercise as a result of actions or omissions of other Final Users or PS of the App or the website or third parties will be limited to said End Users, PS or third parties, not taking any action against Vudoir.
7. Updating and Modification of the App, the website or the OneDecision widget Vudoir
Likewise, Vudoir reserves the right to make, at any time and without prior notice, updates, modifications or deletion of information contained in its app, website or the OneDecision widget, in the configuration and presentation of this and the conditions of access, without assuming any responsibility for it. Vudoir does not guarantee the absence of interruptions or errors in the access of said platormas (app, web, widget) or its content, or that it is always updated, however, Vudoir will carry out, provided that there are no causes that do so impossible or difficult to execute, and as soon as you know of errors, disconnections or lack of updating in the contents, all those tasks aimed at correcting errors, reestablishing communication and updating contents.
8. Intellectual Property
Vudoir is the owner or licensee of all intellectual and industrial property rights included in the app, web and the OneDecision widget, except as provided in the General Terms and Conditions of Use and the exceptions collected, if applicable. , in this document. It also holds or licenses the contents accessible through it. The intellectual property rights of the web, app and widget, as well as: texts, images, graphic design, navigation structure, information and contents that are included in it are the property of Vudoir, who is responsible for the exclusive exercise of the rights of exploitation of the same in any form and, especially, the rights of reproduction, distribution, public communication and transformation, in accordance with the Spanish legislation of intellectual and industrial property rights.
The authorization to the PS for access to the web, app and widget OneDecision does not imply resignation, transmission, license or total or partial cession of intellectual or industrial property rights by Vudoir. It is not allowed to delete, avoid or manipulate in any way the contents of the web, app and widget of Vudoir. It is also prohibited to modify, copy, reuse, exploit, reproduce, publicly communicate, make second or subsequent publications, upload files, send by mail, transmit, use, treat or distribute in any way all or part of the contents included in the web , Vudoir app and widget for public or commercial purposes, if you do not have the express and written authorization of Vudoir or, as the case may be, the holder of the rights to which it corresponds.
The PS that proceeds to share any type of content through the app, web and widget, ensures that it holds the necessary rights to do so, leaving Vudoir exempt from any responsibility for the content and legality of the information offered. The facilitation of content by the PS through the web, app or the OneDecision widget will imply the assignment to Vudoir, free of charge, and with the maximum territorial and temporal extent allowed by current legislation, of the exploitation rights of intellectual or industrial property derived from such content.
9. Independence of the Clauses
If any of the clauses of these General Conditions are null and void or voidable, it will be deemed not to be. Said declaration of nullity will not invalidate the rest of the Contract, which will maintain its validity and effectiveness between the Parties.
10. Applicable Legislation
The relationship between VUDOIR and the PS will be governed by and construed in accordance with the General Conditions that will be governed by Spanish legislation regarding interpretation, validity and execution; and any dispute will be submitted to the Courts of Barcelona.
11. Extrajudicial resolution of conflicts
In accordance with the provisions of Article 14 of Regulation (EU) No. 524/2013, Vudoir informs you that the European Commission has established an out-of-court online dispute resolution platform to resolve disputes relating to obligations contractual obligations arising from contracts for the purchase or sale of services concluded online between a consumer residing in the Union and a trader established in the Union. Therefore, the Client can access this platform through the following link: http://ec.europa.eu/consumers/odr/.
Notwithstanding the above, conflicts or controversies that take place outside the European Union will be subject to its resolution by the Spanish Court of Arbitration of the Chamber of Comerce.
